TD SYNNEX CORPORATION

SMS TERMS AND CONDITIONS FOR UNITED STATES AND CANADA


By providing your mobile phone number and opting into TD SYNNEX Corporation's SMS communications, you agree to these SMS Terms and Conditions ("Terms"). These Terms apply to recipients in both the United States and Canada.

 

1. SMS DATABASE ENROLLMENT

 

By opting in, you explicitly consent to receive recurring automated and non-automated text messages from TD SYNNEX Corporation ("TD SYNNEX") at the mobile number you provide. Consent to receive SMS messages is not a condition of purchase. Message and data rates may apply.

Your consent enrolls you in the TD SYNNEX SMS Database (“SMS Database”). Enrollment in the SMS Database allows TD SYNNEX to communicate with you via SMS and to invite you to participate in specific SMS programs, campaigns, events, promotions, informational messages, marketing communications, program opportunities, account-related communications, and other business-related communications (“Programs”).

 

2. CONSENT AND ENROLLMENT

 

Consent Requirements
By providing your mobile phone number and opting in, you confirm that:

  • · You are authorizing TD SYNNEX to send automated and non-automated text messages to the specific mobile number you provide.
  • · Your signature or affirmative action (including checking a consent box, replying to a text message, or responding to an email or advertising invitation) constitutes your written consent.
  • · You understand that consent to receive SMS messages is NOT required as a condition of purchasing any goods or services from TD SYNNEX.
  • · You may revoke your consent at any time using the opt-out methods described in Section 3

Program-Specific Participation

As a member of the TD SYNNEX SMS Database, you may receive invitations or opportunities to participate in specific Programs. Participation in individual Programs may require additional opt-in consent. You may choose whether to participate in any Program and may opt out of any individual Program at any time. Opting out of an individual Program will stop communications related to that Program only and will not remove you from the SMS Database.

 

3. HOW TO OPT-OUT

 

Standard Opt-Out

If you wish to be removed from the SMS Database and stop receiving all SMS communications from TD SYNNEX, you may opt out at any time by texting:  STOP, CANCEL, UNSUBSCRIBE, QUIT, END, STOPALL, REVOKE or OPT OUT to the designated TD SYNNEX SMS short code or phone number provided in our messages.

These keywords are examples only. You may also opt out by replying in your own words, or by contacting us at smshelp@tdsynnex.com or through the Preference Center. TD SYNNEX will honor any reasonable request to opt out and will process opt-out requests within a reasonable time, not to exceed 10 business days.

After texting STOP, you may receive one additional confirmation message indicating that your opt-out request has been processed.

4. MESSAGE FREQUENCY AND TIMING

 

Frequency
Message frequency will vary based on your participation in Programs, your interactions with TD SYNNEX, and business needs. TD SYNNEX reserves the right to alter message frequency at any time.

Timing
TD SYNNEX will send marketing and promotional text messages only between 8:00 a.m. and 8:00 p.m. local time of the recipient

 

5. CANADA SPECIFIC TERMS

 

*This section applies to recipients located in Canada and supplements the Terms.*

Canada's Anti-Spam Legislation (CASL) applies to all commercial electronic messages — including SMS — sent to recipients located in Canada. In addition to the general Terms above, the following rules apply to Canadian recipients.

Consent

TD SYNNEX will only send commercial SMS messages to Canadian recipients based on:

  • · Express consent: obtained through a positive opt-in action (e.g., checking a consent box or replying affirmatively). Express consent cannot be obtained through pre-checked boxes, silence, or inaction. Express consent has no expiry and remains valid until you withdraw it.

  • · Implied consent (time-limited): TD SYNNEX may send messages based on implied consent where you have an existing business relationship with TD SYNNEX — for up to 2 years following a completed purchase, lease, or written contract, or up to 6 months following an inquiry or application.

 

Sender Identification

Every commercial SMS message sent to Canadian recipients will include TD SYNNEX's business name, mailing address, and a contact method (phone number, email address, or website) as required by CASL s.6(2). This contact information will remain valid for at least 60 days after the message is sent.

 

Unsubscribe

Canadian recipients may unsubscribe from SMS communications at any time using the opt-out methods in Section 3. All unsubscribe requests from Canadian recipients will be honored within 10 business days at no cost.

 

Record-Keeping

TD SYNNEX maintains records of consent obtained from Canadian recipients, consistent with CASL's requirement that the sender bear the burden of demonstrating consent.

 

6. CHANGES TO MOBILE NUMBER

 

If you change or deactivate your mobile phone number, you agree to promptly notify TD SYNNEX via the Preference Center so that your number can be removed or updated in our records. Failure to do so may result in messages being sent to an individual who acquires your former phone number.

 

7. PRIVACY

 

Information collected in connection with SMS communications will be handled in accordance with the TD SYNNEX Privacy Statement, available at: Privacy.

 

8. LIMITATION OF LIABILITY

 

TD SYNNEX shall not be liable for delays in the receipt of any SMS messages, as delivery is subject to effective transmission by wireless carriers and other third-party service providers. TD SYNNEX and its affiliates are not responsible for carrier delays, network outages, or service interruptions.

To the maximum extent permitted by law, TD SYNNEX shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to participation in the SMS Database or any Program.

 

9. DISPUTE RESOLUTION

 

Please read this section carefully as it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms, the SMS Database, or any Program shall be resolved exclusively through binding arbitration and not in court.

You and TD SYNNEX agree that any arbitration shall be conducted on an individual basis only. Neither party shall participate in a class action, class arbitration, representative action, or collective proceeding.

This arbitration provision shall be governed by the Federal Arbitration Act and administered by the American Arbitration Association under its applicable rules.

 

10. GOVERNING LAW

 

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles, unless otherwise required by applicable law.

 

11. SEVERABILITY

 

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

 

12. CHANGES TO THESE TERMS

 

TD SYNNEX reserves the right to modify these Terms at any time. Updated Terms will be posted at a designated website and will become effective upon posting unless otherwise required by law.

By enrolling in the TD SYNNEX SMS Database, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
