Sourcewell is a State of Minnesota local government unit and service cooperative created under the laws of the State of Minnesota (Minnesota Statutes Section 123A.21) that offers cooperative procurement solutions to government entities. Participation is open to eligible federal, state/province, and municipal governmental entities, higher education, K-12 education, nonprofit, tribal government, and other public entities located in the United States and Canada.

Sourcewell – TD SYNNEX Contract 020624-SYN focuses on Cradlepoint and Ericsson and covers all vendor offerings available at TD SYNNEX.  TD SYNNEX and manufacturers’ standard commercial certifications / authorizations are required for participation, in addition to any requirements specific to Public Sector or this contract.

• Four percent (4%) off MSRP/List
• All manufacturing lines, (unless noted in *Exceptions below)
• Exceptions – Two percent (2%) off MSRP/List – Chromebooks, HP SmartBuys, Lenovo TopSeller Products & all other promotionally priced products, APC, Asus, Cisco, Crucial, Google, Global Knowledge Training, Microsoft Software, NEC, Netmotion, Seagate, & F5
• Dealer / Value-Add Reseller (VAR) is free to offer additional discounts to the end users from the established contract price.

Authorized Dealer Program

TD SYNNEX offers a Dealer Program that provides select reseller partners the ability to sell to SOURCEWELL members using this contract. The Dealer is authorized to invoice the Sourcewell member and accept payment on behalf of TD SYNNEX, subject to the following requirements:

• Dealer quote will include the Sourcewell contract price and your cost from TD SYNNEX
• End-user pricing can NOT exceed the Sourcewell Contract Price but can be discounted by the Dealer
• Dealer must identify all Sourcewell quotes and orders to TD SYNNEX. Quotes can be obtained at Sourcewell@tdsynnex.com.
• Both the End-user and Dealer POs should reference Sourcewell Contract number #020624
• Dealer is responsible for maintaining a copy of these POs for audit purposes for up to 3 years following the date of that sale.
• Reseller must have a current account in good standing at TD SYNNEX and signed Dealer Agreement. To participate, please reach out to your TD SYNNEX Public Sector BD, using the map.
• TD SYNNEX and manufacturers’ standard commercial certifications/authorizations are required for participation.

Contract Sales Reporting

Sales reporting requirements are at the time of sale for each transaction. Sales reporting consists of Reseller’s Purchase Order issued to TD SYNNEX and the end-user customer’s Purchase Order issued to Reseller (the “Transaction Sales Report”). The Transaction Sales Report shall be submitted to your designated TD SYNNEX salesperson and the following email address sourcewell@tdsynnex.com. Sales reporting requirements are material requirements to be in compliance with the Agreement and will be a deliverable for each transaction.

Contract Fees

• 0.80% or 80 Bps for Ericsson/Cradlepoint EP5G Products
• 0.80% or 80 Bps for Cradlepoint Products
• 0.80% or 80 Bps for all other Commodity Products
• 2.00% or 200 Bps for all other Enterprise Products

Enterprise Products are products that are High-End enterprise class Datacenter Server/Storage that support cloud, AI/ML, and data center solutions, that require specific vendor authorization to purchase.

Enterprise Product Examples:

• Hewlett Packard Enterprise HPE Cray XD2000 supercomputer (The architecture can run proficiently with multiple generations of CPUs, GPUs, and interconnects. The HPE Cray EX is designed to support up to 256 dual socket nodes in a single cabinet, as well as support high-wattage CPUs and GPUs.)
• Cisco Nexus 9000 Series switch (400G-ready and 800G-capable with a power efficient distributed architecture.  Managed by Cisco Enterprise Agreements.)
• HPE Aruba CS 8400 Series data center switches (High-performance 19.2Tbps switching (1.2Tbps/slot) capacity with up to 7.142Bpps for throughput.)

Commodity Products are all other products such as servers, networking equipment, and end-point devices such as desktop, laptop, tablets, and print devices. Also includes peripheral devices such as monitors, docking stations, UPS/power, telephony, furniture, and other accessories and supplies.

New vendors and products that are added during the period of the contract shall follow the same product classification as described above.
